Trade partner terms

The partner programme, in full.

A flat fee, a capped slot and thirty days' notice. These are the terms behind that - written to be read before you pay rather than quoted at you afterwards. If anything here is unclear, ask us before you apply.

  1. Clause 1

    Who these terms are with

These terms govern the Kept trade partner programme: a directory listing and, on the paid tiers, promoted placement of your business against the statutory duties you are qualified to discharge. They are an agreement between you (the trade business named on your application) and Cube Systems Limited, a company registered in England and Wales (company number 17220899), trading as Kept.

They apply from the moment we approve your application. They sit alongside our Terms of Use and Privacy Policy; where those conflict with these terms in relation to your listing, these terms win.

This is a business-to-business agreement. The consumer protections in our landlord-facing terms do not apply to your listing, even if you trade as a sole trader.

  2. Clause 2

    Eligibility and verification

You must be a UK trade business, lawfully able to carry out the work you are listed against, and able to receive payment and issue or accept invoices in the United Kingdom.

Where your trade has a mandatory register or competent-person scheme - Gas Safe, NICEIC, NAPIT, ELECSA, STROMA, Elmhurst, Quidos, ECMK and the like - you must be a current member, you must give us your registration number, and we will check it against the relevant public register before your listing appears anywhere. We re-check periodically and after any renewal date. We may also ask for evidence of public liability insurance.

You must tell us promptly if your registration, accreditation or insurance lapses, is suspended or is withdrawn. Continuing to appear on Kept while unregistered is a material breach of these terms, and we will remove the listing immediately if we find out.

Every application is read by a person. We may decline one without giving a detailed reason, and being declined does not entitle you to a refund of anything, because nothing is charged before approval.

  3. Clause 3

Your listing and the content in it

You are responsible for everything in your listing: your business name, trading address, contact details, registration number, coverage postcodes, description and logo. It must be accurate, current, and not misleading about your qualifications, accreditations, pricing or the work you can lawfully carry out.

You grant us a non-exclusive, royalty-free licence to display your business name, logo and listing content on Kept - in the trade directory, in the app, in landlord reminder emails and, where you are on a tier that includes it, in co-branded placements - for as long as your listing is live. That licence ends when your listing does, save for copies already sent in emails and held in landlords' records, which we cannot recall.

We may edit a listing for length, house style, spelling or clarity, and may correct or remove anything we believe to be inaccurate. We will tell you when we do.

You may not describe yourself as Kept, as part of Kept, as approved or endorsed by Kept beyond the fact of verification, or use our name or marks in a way that suggests we vouch for your work. Being listed means we checked your registration - nothing more.

  4. Clause 4

    Tiers, fees and VAT

Listing is free. Promoted placement is a flat monthly or annual fee by tier - £29 a month for up to 5 postcode districts, up to £199 a month for up to 60. The tiers, prices and inclusions in force are those published on our pricing page.

All partner fees are quoted and charged excluding VAT. VAT is added at the prevailing rate and shown on your invoice. This differs from our landlord plans, which are advertised inclusive of VAT.

Annual billing is charged as ten months' fee for twelve months' placement. Annual terms run for the twelve months paid for.

Every paid tier starts with a free first 30 days. No fee is taken during that period, and if you cancel before it ends you owe nothing.

Payments are taken by Stripe on the recurring cycle you choose. We never see or store your full card number. Subscriptions renew automatically until cancelled.

We may change tier prices for future billing periods. We will give you at least 30 days' notice by email before a change affects you, and you may cancel before it takes effect. Prices never escalate automatically on renewal.

If a payment fails we will retry and tell you. If it stays outstanding, promoted placement stops and your listing reverts to the free Listed tier - it is not deleted.

  5. Clause 5

    Cancellation and notice

There is no minimum term. You may cancel a paid tier at any time on 30 days' notice, by email or from your partner account. Promoted placement continues to the end of that notice period and then reverts to the free Listed tier.

Except where the law requires otherwise, fees already paid are not refundable, though we may refund at our discretion - and we will always refund the unused portion of an annual term if we are the ones ending the arrangement without cause.

We may end or suspend promoted placement on 30 days' notice, refunding any unused prepaid fee. We may suspend or remove a listing immediately and without refund where your registration or insurance has lapsed, where a listing is materially inaccurate, where we receive credible complaints of unsafe or dishonest work, or where you breach clause 3, 7 or 8.

  6. Clause 6

How placement works, and what we do not promise

Your offer appears against a duty when three things line up: the duty is one you are qualified for, the property sits in an outward postcode district you told us you cover, and a landlord who can see partner offers is being reminded about it.

We cap promoted partners at three per postcode district per duty. When a district is full we say so and offer a waiting list rather than selling a slot that does not exist.

There is no auction, no bidding and no per-click or per-enquiry charge. Two firms in the same district on the same tier pay the same money for the same slot. Placement order within a slot is set by tier, as published, not by spend.

Partner offers are shown to landlords on our Free plan, and to paid-plan landlords only where they have deliberately switched offers on. We do not guarantee any number of impressions, clicks, enquiries or jobs, and nothing in your statement should be read as a forecast. If the numbers do not justify the fee, cancel - that is what the notice period and the free first month are for.

You will receive a statement of impressions, clicks and click-through rate by district for each duty you are placed against, at the frequency your tier specifies. Figures are our own measurements, taken in good faith, and are not independently audited.

  7. Clause 7

Landlord data: what you get, and what you must not do

You never receive a landlord's name, email address, telephone number, property address or compliance status from us. Matching happens inside Kept using the outward postcode district only. We do not sell, rent or otherwise pass landlord personal data to partners, at any tier or any price.

What you receive is aggregate: counts, click-through rates and district-level breakdowns. The landlord decides whether to contact you. If they do, they contact you directly and you are then in a normal customer relationship, governed by your own privacy notice and your own obligations under UK GDPR.

Where a landlord gives you their Kept mailbox address, you may use it only to send documents relating to their property - certificates, reports and related invoices. You must not use it for marketing, newsletters, bulk mail or anything unrelated to work you have done or quoted for. We will suspend a listing for misuse of it.

You must not attempt to identify, profile or re-identify landlords from placement statistics, scrape the directory or the app, or use any Kept data to build a marketing list.

  8. Clause 8

Your work is your contract, not ours

Any job a landlord books with you is a contract between you and them. We are not a party to it, are not an agent, introducer or broker for either side, take no commission from it, never see your prices and never invoice on your behalf.

You are solely responsible for the work, your pricing, your certification of it, your compliance with the law and with your scheme's rules, your insurance, and any consumer rights the landlord has against you. You will indemnify us against claims brought against us arising from your work or from a materially inaccurate listing.

Nothing in these terms creates an employment, agency, partnership or joint venture relationship between us.

Kept is compliance software, not a law firm. Do not present anything as legal advice, and do not tell a landlord that engaging you or appearing on Kept makes them compliant.

  9. Clause 9

    Your own data

We process your business and contact details to assess your application, verify your registration against the relevant public register, run and bill your listing, produce your statements and contact you about the programme. The Privacy Policy explains this in full, including how long we keep applications that are declined.

Approved listings are published: your business name, trade, registration number, coverage area, description and - on the tiers that include it - your logo are shown to landlords. That publication is the point of the service and is the basis on which you apply.

  10. Clause 10

    The referral code is separate

You may hold a referral code as well as a listing, or instead of one. It is free and independent of your tier: landlords you introduce get 50% off their first 3 months and you earn 30% of what they pay for 12 months.

Referral activity is governed by the referral programme terms, not by these ones. Ending your listing does not end your referral code, and ending your referral code does not end your listing.

  11. Clause 11

    Liability

Nothing here excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

We are not liable for loss of profit, business, goodwill, anticipated savings or enquiries, or for any indirect or consequential loss. In particular, we are not liable for the commercial performance of a listing.

Subject to the above, our total liability under these terms in any twelve-month period is limited to the fees you paid us for placement in the twelve months before the first claim.

The service is provided with reasonable skill and care. Beyond that, and to the extent permitted by law, it is provided as is.

  12. Clause 12

    Changes, general and law

We may change these terms with at least 30 days' notice by email. If you do not accept a change you may cancel before it takes effect; continuing to hold a listing after that date means you accept it.

These terms, the Terms of Use, the Privacy Policy and - if you hold a code - the referral programme terms are the whole agreement about your listing. If any part is unenforceable, the rest continues to apply.

You may not transfer your listing to another business without our written consent, which we will not withhold unreasonably where the new business passes the same verification. We may transfer our rights and obligations to a successor business.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

  13. Clause 13

    Contact

Cube Systems Limited, trading as Kept. Email partners@usekept.co.uk for anything about your listing, your statement or your invoice, or hello@usekept.co.uk for anything else.

Happy with all that?

Kept is an information and reminder service, not a solicitor, letting agent or insurer, and nothing in these terms constitutes legal advice. Being listed on Kept means we verified your registration against the relevant public register - it is not an endorsement of your work.
